Set up your register

Create a company, bring in your records and give holders access.

Start with your company

Open the register and sign in with a passkey. If you do not belong to a company yet, choose its name and a unique company identifier. The identifier cannot be changed later. Creating a company gives you owner access and an empty register; it does not issue any shares.

Bring in the evidence

In Documents, upload the charter, signed instruments and other source records. Review and approve each document proposal. Leave the holder selection empty to keep a document within the company team.

For an existing register, open Import from the overview or cap table. Review every extracted row against its source. Scanned PDFs use local English OCR; compare recognized names, amounts, dates and signatures with the original document. OCR does not mark a page reviewed. Use Draft changes beside grouped source suggestions to fill editable instrument candidates. Check the grouping and every quoted term; missing values stay unresolved. Keep share quantities separate from SAFE or note principal. Resolve missing terms, duplicates and exclusions before preparing the batch. The reviewed batch is recorded only after approval.

Build a new register

  1. Add your legal holders: the people, companies or trusts that own the instruments.
  2. Prepare a share class using the charter’s authorized shares, effective date and rights.
  3. Record the required board consent in Board, then approve the share-class proposal with a passkey.
  4. Record issuances and grants from signed source documents. Option plans, vesting and funding have their own reviewed steps.

The setup panel shows which foundation records are still missing. A proposed record stays pending until the required human approval is complete.

Check the result

Compare Cap table, Holders and Instruments with your source records. Working FD is the register’s working fully diluted view. Investor and as-converted views require explicit conversion terms and pricing; unresolved inputs do not produce ownership totals. An effective-date view and a “recorded through” view answer different questions.

Download a CSV for a table, or a records package for the ledger, approvals and available original documents. Public OCF export is not enabled yet.

Model a round and its option pool

In Rounds, select the subscribers for an interim or final closing. You can set an option plan’s authorized shares directly or calculate an increase from a target unallocated percentage. The target uses working fully diluted shares and exact entitlements from the conversions you select. It keeps each share class’s units and excludes unselected convertibles; it is not common-equivalent ownership.

Review the resulting authorization, share increase and achieved percentage. Calculation does not change the register. Each closing requires funding evidence, capacity, exact board consent and a separate passkey approval. Choose how many shares each subscriber receives at an interim closing. Receipts must cover earlier issuance plus the selected shares, and the signed terms must permit installments. Interim closings keep the round open; final closings must issue every remaining subscribed share.

Share the portal

Open a holder to link an existing company member or prepare an owner-approved invitation. Choose the representative’s capacity and grant document access explicitly. A holder’s contact email alone grants no access. During prelaunch, share the private invitation link manually; email delivery is disabled.

Use the company switcher to move between registers. Custom company hostnames must complete ownership verification and routing before they become active.

Next: the shareholder portal or reviewing a proposal.
